1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of BasecampSEO ("the Service"), a Google Search Console analytics platform. By creating an account or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, you must not access or use the Service. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Service Description

BasecampSEO is a software-as-a-service platform that connects to your Google Search Console account to provide enhanced analytics and data visualization capabilities. The Service retrieves, stores, and processes your search performance data to deliver dashboards, historical tracking, and analytical insights.

Core functionality includes connection to Google Search Console via OAuth, storage of historical search performance data beyond Google's standard 16-month retention limit (for paid plans), analytics dashboards displaying queries, pages, countries, and device breakdowns, identification of performance changes through our movers feature, and segmentation tools including brand term filtering and page grouping.

The Service is designed for website owners, SEO professionals, and marketing teams who require deeper insights into their organic search performance. We continuously improve and update the Service, and features may be added, modified, or removed at our discretion with reasonable notice to users.

3. User Accounts

To access the Service, you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must be at least 18 years of age, or the age of legal majority in your jurisdiction, to create an account and use the Service.

You agree to notify us immediately if you become aware of any unauthorized access to or use of your account. We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised or are being used in violation of these Terms. We are not liable for any loss or damage arising from your failure to protect your account credentials.

4. Google Connection and Data Access

The Service requires you to connect your Google Search Console account through Google's OAuth 2.0 authentication protocol. When you authorize this connection, you grant us permission to access your Search Console data on your behalf in read-only mode. We do not receive or store your Google password at any time.

The data we access includes search performance metrics such as clicks, impressions, click-through rates, and average positions, along with associated dimensions including queries, pages, countries, and devices. This data is stored and processed in accordance with our Privacy Policy. You may revoke our access to your Google account at any time through your Google account settings or through the Service's settings page.

5. Subscription and Payments

The Service is offered through both free and paid subscription plans. Free plans provide access to core features with certain limitations, while paid plans unlock additional capabilities including extended data retention and advanced features. Paid subscriptions are billed in advance on a recurring basis, either monthly or annually depending on your selection. All payments are processed securely through Stripe, and we do not store your complete payment card information on our servers. Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date.

We reserve the right to modify our pricing with at least 30 days' advance notice. Price changes will take effect at the start of your next billing period following the notice. If you do not agree with a price change, you may cancel your subscription before it renews at the new price.

6. Refund Policy

We offer a 14-day money-back guarantee for new paid subscriptions. If you are not satisfied with the Service for any reason, you may request a full refund within 14 days of your initial payment by contacting our support team. This guarantee applies only to first-time subscribers and to the initial payment; it does not apply to subscription renewals, plan upgrades, or additional purchases.

Refund requests made after the 14-day period will be evaluated on a case-by-case basis at our sole discretion. We recommend canceling your subscription before the next billing date if you no longer wish to use the Service, as we generally do not provide refunds for partial billing periods.

7. Data Ownership and Portability

You retain full ownership of all data that originates from your Google Search Console account. We act solely as a data processor on your behalf, storing and processing your data to provide the Service. Our role as a processor and the handling of your personal data are further detailed in our Privacy Policy.

You may request a copy of your data or delete your data at any time through your account settings. Upon account deletion, we will remove your data from our active systems within a reasonable timeframe, subject to any legal retention requirements and our backup procedures.

8. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You are prohibited from using the Service in any way that violates applicable laws or regulations, infringes upon the rights of others, or could damage, disable, or impair the Service or interfere with other users' access.

Specifically, you agree not to attempt to gain unauthorized access to any part of the Service, its servers, or any systems or networks connected to the Service. You may not use any automated means, including bots, scrapers, or similar tools, to access the Service except through our official API if one is provided. You may not resell, redistribute, sublicense, or commercially exploit the Service without our prior written authorization. You may not upload or transmit any malicious code, viruses, or other harmful materials. You may not use the Service to send spam or unsolicited communications, or engage in any activity that could harm our reputation or the experience of other users.

We reserve the right to investigate and take appropriate action against anyone who, in our sole discretion, violates these provisions, including removing content, suspending or terminating accounts, and reporting violations to law enforcement authorities.

9. Intellectual Property

The Service, including its underlying software, algorithms, user interface, design elements, documentation, and all related intellectual property, is owned by us and protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any ownership interest in the Service, but only a limited, revocable license to use the Service in accordance with these Terms.

You may not copy, modify, create derivative works from, reverse engineer, decompile, or disassemble any part of the Service without our express written permission. All trademarks, service marks, logos, and trade names displayed on the Service are our property or the property of their respective owners and may not be used without prior written consent.

10. Service Availability and Modifications

We strive to maintain high availability of the Service, but it is provided on an "as is" and "as available" basis. We do not guarantee that the Service will be uninterrupted, timely, secure, or error-free. We do not warrant that the results obtained from using the Service will be accurate or reliable, or that the Service will meet your specific requirements.

We may modify, suspend, or discontinue any part of the Service at any time, with or without notice. We may also impose limits on certain features or restrict access to parts of the Service without notice or liability. While we will make reasonable efforts to notify users of significant changes, we are not obligated to provide any specific level of service or support.

11. Disclaimer of Warranties

To the maximum extent permitted by applicable law, we expressly disclaim all warranties, whether express, implied, statutory, or otherwise, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We make no warranty that the Service will be available, accessible, uninterrupted, timely, secure, accurate, complete, or error-free.

You acknowledge that data provided by Google Search Console and displayed through our Service is subject to Google's own limitations, delays, and potential inaccuracies. We are not responsible for the accuracy, completeness, or timeliness of data provided by Google or any other third-party service.

12. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall we be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to damages for loss of profits, goodwill, data, or other intangible losses, arising out of or in connection with your use of or inability to use the Service, regardless of whether such damages are based on warranty, contract, tort, statute, or any other legal theory, and regardless of whether we have been advised of the possibility of such damages.

Our total cumulative liability to you for all claims arising from or relating to these Terms or the Service shall not exceed the greater of (a) the amounts you have paid to us in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred euros (€100). This limitation applies regardless of the form of action, whether in contract, tort, or otherwise.

13. Indemnification

You agree to indemnify, defend, and hold harmless our company, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Service, your violation of these Terms, your violation of any applicable law or regulation, or your violation of any third party's rights.

14. Termination

You may terminate your account and stop using the Service at any time by accessing your account settings or by contacting our support team. We may suspend or terminate your access to the Service immediately, without prior notice or liability, if we determine in our sole discretion that you have violated these Terms or engaged in conduct that we deem inappropriate or harmful to the Service, other users, or third parties.

Upon termination, your right to use the Service will cease immediately. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, limitations of liability, and indemnification obligations. We may retain certain data as required by law or for legitimate business purposes, as described in our Privacy Policy.

15. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Spain, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Barcelona, Spain.

Notwithstanding the foregoing, if you are a consumer residing in the European Union, you may be entitled to invoke the mandatory consumer protection laws of your country of residence, and you may bring legal proceedings in the courts of your country of residence. Nothing in these Terms affects your rights as a consumer to rely on such mandatory provisions of local law.

16. Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by email at the address associated with your account and/or by posting a prominent notice within the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes.

17. General Provisions

These Terms, together with our Privacy Policy and Cookies Policy, constitute the entire agreement between you and us regarding the Service and supersede all prior agreements and understandings. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
